TERMS AND CONDITIONS

KanooniTalk – Operated by Genio Technologies Private Limited

These Terms and Conditions ("Agreement") constitute a legally binding agreement between you ("User", "Client", "Lawyer", "Professional", "you", or "your") and GenioTechnologies Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at:

MR1, Ground Floor, ALTF Tower, Plot No. 21 & 21A, Sector 142, Noida, Uttar Pradesh – 201304, India

(hereinafter referred to as "KanooniTalk", "Company", "Platform", "we", "our", or "us"), which owns and operates the website www.kanoonitalk.com and associated mobile applications and services (collectively referred to as the "Platform").

BY ACCESSING, REGISTERING, OR USING KANOONITALK, YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT.

If you do not agree with these Terms, you must immediately stop using the Platform.

1. DEFINITIONS

For the purpose of this Agreement:

1.1 Platform means the website, mobile application, software, services, and infrastructure owned and operated by Genio Technologies Private Limited.

1.2 User means any person who accesses, browses, registers, or uses the Platform.

1.3 Client means any User seeking legal information, consultation, or services from Lawyers through the Platform.

1.4 Lawyer / Professional means any advocate, legal professional, consultant, or expert registered on the Platform.

1.5 Services means consultation, communication, legal information, legal marketplace services, document assistance, and related services offered through the Platform.

1.6 Platform Fees means charges levied by KanooniTalk for providing access to the Platform and facilitating services.

2. NATURE OF PLATFORM (IMPORTANT LEGAL DISCLAIMER)

2.1 KanooniTalk is a technology platform only.

2.2 KanooniTalk does NOT provide legal advice.

2.3 KanooniTalk is NOT a law firm.

2.4 KanooniTalk does NOT employ Lawyers.

2.5 KanooniTalk does NOT control, supervise, or guarantee any Lawyer.

2.6 KanooniTalk acts only as an intermediary facilitating communication between Clients and independent Lawyers.

2.7 All legal advice, services, and consultations are provided solely by independent Lawyers.

2.8 KanooniTalk shall not be responsible or liable for:

• Legal advice provided by Lawyers

• Accuracy of legal advice

• Outcome of any legal matter

• Lawyer conduct

• Lawyer competence

• Legal errors

• Professional negligence

2.9 The LawyerClient relationship exists strictly between the Client and the Lawyer, and KanooniTalk is not a party to such relationship.

3. ELIGIBILITY

3.1 You must be at least 18 years old to use the Platform.

3.2 By using the Platform, you confirm that:

• You have legal capacity to enter into a binding contract

• All information provided by you is accurate

• You will comply with all applicable laws

3.3 KanooniTalk reserves the right to refuse access to anyone at its sole discretion.

4. ACCOUNT REGISTRATION

4.1 Users must create an account to access certain services.

4.2 You are responsible for:

• Maintaining confidentiality of your login credentials

• All activities under your account

4.3 KanooniTalk shall not be liable for unauthorized account access.

4.4 KanooniTalk may suspend or terminate accounts at its sole discretion.

5. SERVICES PROVIDED

KanooniTalk provides the following services:

• Lawyer listing and discovery

• Legal consultation booking

• Legal marketplace facilitation

• Communication tools between Clients and Lawyers

• Technology infrastructure

KanooniTalk does NOT provide legal advice directly.

6. PAYMENT TERMS

6.1 KanooniTalk collects payments from Clients on behalf of Lawyers and for Platform Fees.

6.2 By making payment, you agree:

• Payment is valid and authorized

• You will not initiate fraudulent chargebacks

6.3 KanooniTalk may charge:

• Platform fees

• Service fees

• Convenience fees

6.4 KanooniTalk reserves the right to modify pricing.

7. STRICT NO REFUND POLICY

7.1 ALL PAYMENTS MADE ON KANOONITALK ARE FINAL.

7.2 NO REFUNDS SHALL BE PROVIDED UNDER ANY CIRCUMSTANCES INCLUDING BUT NOT LIMITED TO:

• Dissatisfaction with Lawyer

• Unfavorable legal outcome

• Change of mind

• Partial usage

• Failure to communicate

7.3 Refund may be granted ONLY at sole discretion of KanooniTalk.

7.4 KanooniTalk's decision shall be final and binding.

8. LAWYER INDEPENDENCE

8.1 Lawyers are independent professionals.

8.2 KanooniTalk does not guarantee:

• Lawyer competence

• Lawyer availability

• Legal results

8.3 Users must conduct their own due diligence.

9. NONCIRCUMVENTION (IMPORTANT PROTECTION CLAUSE)

9.1 Users and Lawyers shall not bypass the Platform.

9.2 Direct contact outside the Platform to avoid Platform Fees is strictly prohibited.

9.3 Violation shall result in:

• Immediate account termination

• Legal action

• Penalty of minimum INR 5,00,000 per violation

10. USER OBLIGATIONS

Users agree NOT to:

• Provide false information

• Harass lawyers

• Use Platform illegally

• Upload harmful content

• Violate laws

11. INTELLECTUAL PROPERTY RIGHTS

All Platform content is owned by Genio Technologies Private Limited.

Users shall not:

• Copy

• Modify

• Distribute

• Reverse engineer

Violation may result in legal action.

12. LIMITATION OF LIABILITY (CRITICAL PROTECTION CLAUSE)

To maximum extent permitted by law:

KanooniTalk shall NOT be liable for:

• Legal advice

• Lawyer actions

• Legal outcomes

• Financial losses

• Business losses

• Indirect damages

Maximum liability shall not exceed amount paid by User to KanooniTalk.

13. INDEMNITY

User agrees to indemnify KanooniTalk from:

• Legal claims

• Damages

• Losses

• Lawyer disputes

14. ACCOUNT TERMINATION

KanooniTalk may terminate accounts without notice for:

• Violation of Terms

• Suspicious activity

• Legal compliance

15. PRIVACY

Use of Platform is subject to Privacy Policy.

16. FORCE MAJEURE

KanooniTalk shall not be liable for events beyond its control including:

• Natural disasters

• Server failures

• Government actions

17. GOVERNING LAW

This Agreement shall be governed by laws of India.

18. JURISDICTION

All disputes shall be subject exclusively to Courts at Delhi, India.

19. ARBITRATION CLAUSE (STRONGLY ENFORCEABLE CLAUSE)

Any dispute shall be resolved by arbitration under Arbitration and Conciliation Act, 1996.

Language: English

Decision shall be final.

20. RIGHT TO MODIFY TERMS

KanooniTalk may modify Terms at any time.

21. ELECTRONIC CONSENT

Using Platform constitutes legal consent.

22. ENTIRE AGREEMENT

This Agreement constitutes entire agreement.

USER DECLARATION

By using KanooniTalk, you acknowledge and agree:

• KanooniTalk is technology platform only
• KanooniTalk is not responsible for legal advice
• KanooniTalk liability is limited
• Payments are nonrefundable
• Courts of Delhi shall have exclusive jurisdiction
